These Terms of Service (“Terms”) govern your access to and use of FrameWeft Productions (“FrameWeft,” “we,” “us,” “our”) websites, communications, and professional services, including business coaching, leadership development, strategic planning, operational consulting, analytics advisory, workshops, and related deliverables (collectively, the “Services”). By requesting, purchasing, scheduling, or using the Services, you agree to these Terms.
1) Definitions. “Client” means the individual or entity purchasing Services. “Deliverables” means any outputs provided to Client (e.g., reports, slides, notes, frameworks). “SOW” (Statement of Work) means the written scope, timeline, fees, and assumptions for an engagement.
2) Nature of Services; no professional advice. Services are consultative and educational in nature. We may provide assessments, facilitation, coaching sessions, analysis, and recommended actions. We do not provide legal, tax, accounting, or regulated financial advice unless explicitly agreed in writing and permitted by law. Client is solely responsible for business decisions and compliance.
3) Eligibility and authority. You represent that you are at least the age of majority in your jurisdiction and have authority to bind the Client entity (if applicable). If you are using Services on behalf of an organization, you agree that these Terms apply to the organization.
4) Engagement structure; scope control. Services are provided as defined in the applicable SOW, invoice, proposal, or written confirmation. Any change in scope, timeline, or assumptions requires written approval and may affect fees and delivery dates.
5) Client responsibilities. Client agrees to: (a) provide accurate and complete information; (b) provide timely feedback and approvals; (c) ensure access to relevant stakeholders, data, and systems as required; and (d) maintain internal decision-making and implementation capacity. Delays or incomplete information may affect outcomes and timelines.
6) Scheduling; attendance; rescheduling. Sessions and meetings are scheduled in advance. Rescheduling requests should be submitted with reasonable notice. Late arrivals may reduce session time without fee reduction. We may reschedule due to emergencies or operational constraints and will provide the next available options.
7) Fees, invoicing, and payment terms. Fees may be hourly, retainer-based, milestone-based, or project-based as stated in an invoice or SOW. Unless otherwise specified, invoices are due upon receipt. We may pause Services for overdue balances. Client is responsible for all applicable taxes (excluding taxes on our income).
8) Expenses and third-party tools. Unless stated otherwise, Client reimburses pre-approved out-of-pocket expenses (e.g., travel, specialized software, data access). We may use third-party tools (e.g., video conferencing, scheduling, document collaboration) to provide Services. Client’s use of such tools may be subject to third-party terms.
9) Deliverables; acceptance. Unless specified otherwise, Deliverables are deemed accepted upon delivery or within a reasonable review period stated in the SOW. If revisions are included, they are limited to the scope and revision rounds defined in the SOW. Additional revisions or scope expansion may be billed separately.
10) Confidentiality. Each party may receive non-public information (“Confidential Information”). Each party agrees to protect the other’s Confidential Information using reasonable care and to use it only to perform obligations under the engagement. Confidentiality obligations do not apply to information that is public, independently developed, or rightfully obtained without restriction.
11) Intellectual property. FrameWeft retains all rights to pre-existing methodologies, templates, tools, systems, and know-how (“Background IP”). Upon full payment, Client receives a non-exclusive, non-transferable license to use Deliverables internally for Client’s business purposes. Client may not resell, publish, or distribute FrameWeft frameworks, templates, or methodologies without written permission.
12) Client materials and permissions. Client represents it has rights to provide any data, content, or materials shared with FrameWeft. Client grants FrameWeft a limited license to use such materials solely to provide Services.
13) Communications; recordings. We may communicate via email, phone, and conferencing platforms. Recording of sessions is not permitted unless all participants consent in advance. If recording is approved, the purpose, storage, and access rules must be agreed in writing.
14) No guarantees; outcomes depend on external factors. We do not guarantee specific outcomes, revenue, or performance improvements. Examples, benchmarks, or projections are illustrative and depend on implementation, market conditions, and other external factors.
15) Disclaimer of warranties. To the maximum extent permitted by law, Services and Deliverables are provided “as is” without warranties of any kind, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
16) Limitation of liability. To the maximum extent permitted by law, FrameWeft is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, loss of data, or business interruption. FrameWeft’s total liability for any claim relating to the Services will not exceed the fees actually paid by Client for the specific Services giving rise to the claim.
17) Indemnification. Client agrees to indemnify and hold FrameWeft harmless from claims arising out of Client’s misuse of Deliverables, Client’s implementation decisions, or Client-provided materials that infringe third-party rights.
18) Term; termination. Either party may terminate an engagement as stated in the SOW or upon written notice if no SOW exists. Upon termination, Client remains responsible for fees and expenses accrued through the termination date, plus any non-cancellable commitments. Sections intended to survive (confidentiality, IP, limitations, dispute terms) will survive termination.
19) Dispute resolution. The parties agree to attempt good-faith resolution through written notice and executive-level discussion before filing formal claims. Where permitted, claims must be brought within a reasonable period after the event giving rise to the claim.
20) Changes to these Terms. We may update these Terms from time to time. Updates apply prospectively. Continued use of Services after updates indicates acceptance for future engagements.

This Refund Policy explains how cancellations, rescheduling, and refunds work for FrameWeft Productions (“FrameWeft,” “we,” “us,” “our”). Because our Services are time-reserved and often customized, refunds are limited and depend on engagement type and work status.
1) General principle. Fees cover time, reserved capacity, planning, and expertise. Once time is reserved or work begins, refunds may be reduced or unavailable. Any specific terms in a signed SOW override this policy to the extent of a conflict.
2) One-to-one sessions (coaching/consulting calls). (a) If you need to reschedule, notify us with reasonable notice. (b) Late cancellations or no-shows may be charged in full because the time was reserved and cannot be reliably rebooked on short notice. (c) If we must cancel, we will offer rescheduling or, if rescheduling is not feasible, an appropriate credit/refund for the unused portion.
3) Workshops and group sessions. (a) Seats may be transferable with prior written notice. (b) Refund eligibility may depend on venue/tooling commitments and preparation work already performed.
4) Projects, retainers, and milestone engagements. (a) Deposits and milestone payments are typically non-refundable once discovery, analysis, drafting, stakeholder coordination, or delivery begins. (b) Retainers reserve capacity and may be non-refundable once the retainer period starts, unless an SOW explicitly states otherwise. (c) If an engagement ends early, any refund (if applicable) is limited to the portion of Services not yet rendered, excluding delivered work, time already spent, and non-cancellable expenses.
5) What counts as “work performed”. Work performed includes (without limitation): research, discovery calls, analysis, building artifacts (slides, documents, models), drafting recommendations, reviewing client materials, internal preparation, and meetings.
6) Refund request process. If you believe a refund is appropriate due to non-delivery: (a) submit a written request by email; (b) include invoice number, engagement details, and the reason; and (c) allow a reasonable review period. Approved refunds, if any, are processed to the original payment method where possible.
7) Chargebacks and disputed payments. If you initiate a chargeback without contacting us first, we may pause Services and provide documentation to the payment processor. We encourage you to contact us to resolve concerns before filing disputes.
8) Non-refundable items. Unless required by law, the following are generally non-refundable: reserved time that has passed, completed sessions, delivered deliverables, completed discovery/analysis, and non-cancellable third-party costs.
9) Timing. If a refund is approved, processing time depends on the payment method and financial institution.
10) Policy updates. We may update this policy periodically. Updates apply prospectively.
